Who can invest?
This initial intake is limited to prospective purchasers based in the United States. Only purchasers whose accredited-investor status is satisfactorily verified may ultimately invest under the contemplated Rule 506(c) offering. Individuals, companies, entities, and funds may submit interest.
Is this form an investment commitment?
No. It is a nonbinding indication of interest. It does not reserve an allocation, accept an investment, or obligate you or Runrate to proceed.
Why is accredited-investor verification required?
Rule 506(c) permits public solicitation, but the issuer must take reasonable steps to verify that every purchaser is accredited. A checkbox on this form is only a routing answer and is not verification.
What happens after I submit?
We will review your interest and may follow up for a conversation. Serious prospects may then be invited to complete verification with a third-party provider before any definitive documents are considered.
Can a company or fund invest?
Potentially. Submit the expected purchaser’s legal name and the person authorized to act for it. Entity and fund accreditation, documents, and signing authority are reviewed separately.
What if the round is full?
Runrate may continue to collect nonbinding interest for a waitlist. A waitlist position does not guarantee an allocation, and the issuer will not accept investments beyond the authorized offering maximum unless the offering is formally changed.
